Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of Predictable Revenue OS (the "Service"), operated by Shantanu Phansalkar ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Who may use the Service

You may use the Service only if you can form a legally binding contract with us, are at least 16 years old, and are not barred from doing so under applicable law. Access to the Service is limited to authorized users. We may approve, suspend, or revoke access at our discretion.

3. Your account and responsibilities

• You are responsible for keeping your account credentials secure and for all activity under your account.
• You agree to provide accurate information when creating your account and to keep it current.
• You are responsible for the content and data you upload, including prospect lists, company knowledge, and campaign materials, and you warrant that you have the rights to use and process it.
• You agree to use the Service in compliance with all applicable laws, including data protection, anti-spam, and electronic communications laws such as GDPR, CAN-SPAM, and CASL.

4. Acceptable use

You agree not to:

• Use the Service to send unsolicited or deceptive messages.
• Upload content that is unlawful, infringing, malicious, or fraudulent.
• Attempt to access, disrupt, or reverse engineer the Service or its infrastructure.
• Use the Service to violate the rights of any person or to facilitate unlawful activity.

Outreach generated through the Service is subject to your review and approval before sending. You remain solely responsible for messages sent on your behalf.

5. AI-assisted features

The Service includes AI-assisted features such as research, enrichment, message drafting, and analysis. AI output is informational only, may be incomplete or inaccurate, and should be reviewed before reliance or use. You are responsible for any action taken on the basis of AI-generated content.

6. Your content and data

You retain ownership of the content and data you submit to the Service. You grant us a limited license to host, process, transmit, and display your content as needed to operate the Service for you. We will not sell your personal data. Your use of the Service is also governed by our Privacy Policy.

7. Payment, billing, and refunds

• Paid plans are billed on a recurring basis in advance. Fees are stated at the time of subscription and may change with notice.
• You authorize us to charge your payment method for the fees you owe. You are responsible for applicable taxes.
• Unless required by law, fees are generally non-refundable for periods already paid. You may cancel renewal at any time and continue to the end of the current billing period.

8. Trial and access approvals

We may offer trial or limited access at our discretion. Access to the Service may be gated behind our approval process. We reserve the right to grant, delay, or decline access, and to terminate access that we believe violates these Terms or applicable law.

9. Service availability and changes

We may update, add, or remove features, integrations, or providers at any time without notice. We do not guarantee that the Service or any third-party integration will be uninterrupted, error-free, or available at all times, and we may suspend access for maintenance, security, or legal reasons.

10. Third-party services

The Service may connect to third-party tools such as email, LinkedIn, and data providers. These services have their own terms and privacy practices, and we are not responsible for their conduct. Your use of them is subject to their agreements.

11. Intellectual property

The Service, its software, branding, and documentation are owned by us and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or content except as needed to use the Service as intended.

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your specific requirements or produce any particular revenue result.

13. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or related to the Service, including loss of revenue, data, profits, or goodwill, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim is limited to the amount you paid us in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if your account is inactive, or for any other reason with reasonable notice. Provisions that by their nature should survive termination — including ownership, disclaimers, and liability — remain in effect.

16. Changes to these Terms

We may update these Terms from time to time. We will post the revised version here with a new "Last updated" date and, where required, notify you of material changes. Continued use after a change constitutes acceptance of the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of India without regard to conflict-of-laws principles. We will try to resolve disputes informally first. Any dispute that cannot be resolved will be brought in the courts of competent jurisdiction in Mumbai, India.
